Terms of Service
Last updated: September 2, 2026
These Terms govern your use of the LIGHTCLIP platform, lightclip.io, and our media creation, editing, streaming, publishing, and analytics services (the “Service”). They form a binding electronic contract between you and the LIGHTCLIP operator. If you have a commercial proposal, purchase order, or written agreement with us, the documents are read together, and the specific agreement controls a conflict within its subject matter.
Acceptance, Eligibility, and Contract Scope
- By creating an account, accepting an invitation, purchasing, or using the Service, you acknowledge that you have read and accepted these Terms and the Privacy Policy.
- If you do not agree, do not use the Service.
- You must be at least 18 and have the required legal capacity, or use the Service under the supervision and consent of a legal guardian or representative.
- If you use the Service for an organization, you represent that you can bind it; “you” refers to both you and that organization.
- Workspace administrator roles and permissions apply to your account; an invitation grants no rights beyond your assigned access.
Accounts and Security
- Provide accurate, current information and update it when it changes.
- An account is personal to its user; do not share passwords or verification codes or allow use by an unauthorized person.
- You are responsible for activity through your account to the extent permitted by law and for checking commands before approving them.
- Use a strong password and enable two-factor authentication where available.
- Notify [email protected] immediately if you suspect unauthorized access or misuse.
- An organization administrator may manage accounts, permissions, and content in an enterprise workspace under the customer agreement.
- We may verify identity or authority or temporarily restrict an account to protect it or the Service.
Service and Operational Changes
- LIGHTCLIP provides tools for media creation, editing and management, live streaming and clipping, collaboration, publishing, and analytics; features vary by plan, permission, and configuration.
- Some features may be beta or early access and may change or stop; we will identify this where material.
- We may improve, modify, or replace features for security, performance, compliance, or integration compatibility.
- The Service may apply fair limits to use, storage, processing, or request volume under your plan or proposal.
- LIGHTCLIP does not guarantee that an external platform will accept or publish content; that platform controls its APIs, policies, and review.
- These Terms do not include professional, editorial, or legal services unless a written proposal expressly says so.
Plans, Fees, and Credits
- Your plan or commercial proposal states the features, term, fees, usage limits, and payment or renewal conditions.
- Prices use the displayed currency; VAT and other statutory charges are added when due unless the price is stated as tax-inclusive.
- For a renewing subscription, the renewal period and cancellation method will be disclosed before purchase; cancel through the channel shown in your account or proposal.
- AI or processing features may require credits, deducted according to the operation and cost displayed in the Service or proposal.
- Credits are a Service usage entitlement, not money or a payment instrument, and are not transferable or redeemable for cash unless law or a written agreement requires it.
- If a paid operation fails technically before delivery, we may restore the credit automatically or after checking operational records.
- Refund and cancellation requests follow the applicable proposal or agreement without limiting any mandatory consumer right under the Saudi E-Commerce Law.
Acceptable Use
Neither you nor anyone you allow to use your account may:
- Use the Service in violation of Saudi or other applicable laws or third-party rights.
- Create, upload, or publish unlawful, fraudulent, defamatory, privacy-invasive, or intellectual-property-infringing content.
- Create or distribute content that exploits children, incites violence or hatred, or facilitates unlawful harm.
- Upload malware, harmful code, or files intended to disrupt or spy on systems.
- Access an account, project, or system without authority, or test vulnerabilities without written approval.
- Disrupt or flood the Service, or evade usage limits, credits, or security controls.
- Scrape the Service, harvest user data, or use automated means other than authorized interfaces.
- Impersonate a person or organization, conceal origin, or make a materially misleading representation.
- Reverse engineer, decompile, or seek source code, except to the extent restriction is prohibited by law.
- Resell, rent, or provide the Service to a third party outside the agreed license or proposal.
Content Publishing
- You make the final publishing decision and must review content, destination, timing, and privacy settings before approval.
- You must have all rights, licenses, and consents needed for the content, including rights for depicted persons, music, marks, and personal data.
- Comply with publishing, media, advertising, e-commerce, and intellectual property laws and each external platform’s policies.
- If content is advertising or a commercial collaboration, make disclosures required by law and the receiving platform.
- Publishing may fail, be delayed, or be removed because of the external platform, network, or expired authorization; monitor status rather than relying on scheduling alone.
- Deleting content from LIGHTCLIP does not automatically delete it from destinations unless the external platform supports and successfully completes that action.
Your Content & Rights
- You retain rights in content you upload, create, or import; these Terms do not transfer its ownership to us.
- While content remains in the Service, you grant us a non-exclusive, limited license to host, copy, process, technically modify, transmit, and display it as needed to operate features you choose.
- This includes creating intermediate copies, thumbnails, clips, waveforms, translations, and render files and sending content to a destination or processor you request.
- The license extends to providers acting for us only to the extent needed to provide the Service.
- We do not use your private content in public advertising or an identifiable case study without separate permission.
- You warrant that you own or may use the content and grant the required license, and that your instructions do not violate law or rights.
- Keep an independent original copy of important content; the Platform is not your sole archive unless the contract says otherwise.
- The license ends when content or the account is deleted, except for temporary copies and retention required by law or needed to establish rights and resolve disputes.
Artificial Intelligence Features
- AI features may produce text, images, video, translations, or suggestions that are inaccurate, non-unique, or unsuitable for your purpose.
- Humanly review outputs and verify accuracy, rights, and suitability before use or publication.
- We do not guarantee that outputs are protectable by intellectual property rights or do not resemble existing content; you are responsible for review and final use.
- Do not enter sensitive data, secrets, or content you may not send to an external processor.
- A feature may be subject to its model provider’s terms and usage policy; we use approved providers to operate it.
- We may refuse a request, withhold an output, or suspend feature access to protect people, rights, systems, or comply with safety policy.
- The content ownership and limited license terms above apply to your inputs and outputs to the extent permitted by law and third-party rights.
External Services and Integrations
- Some functions depend on external services such as social platforms and cloud, AI, and media processing providers.
- Your external account and use are subject to that provider’s terms and privacy policy; your relationship with it is independent.
- You grant authorization and choose its permission scope; revoke a connection in LIGHTCLIP or the external service’s settings.
- A provider may change APIs, quotas, prices, policies, or availability, which may alter or disable an integration.
- We do not control an external provider’s review, acceptance, or removal of content or the availability of your account there.
- We may disable an integration if authorization expires or it creates a security risk or violates provider terms or law.
- LIGHTCLIP is not responsible for an external provider’s acts or omissions outside our control, without limiting liability that cannot legally be excluded.
Confidentiality and Team Management
- You are responsible for managing workspace members and roles and removing access when a person is no longer authorized.
- Do not share a project, link, or asset with anyone not authorized to view it.
- Each party will protect the other party’s confidential information and use it only to provide or receive the Service.
- Confidentiality excludes information lawfully public, previously known, independently developed, or required to be disclosed by law.
- A customer agreement or proposal may contain additional confidentiality and information security obligations that supplement these Terms.
LIGHTCLIP Rights
- LIGHTCLIP and its licensors own the Service, software, design, documentation, and marks, excluding user content and third-party rights.
- We grant you a limited, non-exclusive, non-transferable right to use the Service internally during the subscription term and under your plan.
- Do not copy, sell, license, or create derivative works of the Service without written permission, except where restriction is prohibited by law.
- If you provide feedback, we may use it to improve the Service without payment, while not publishing your confidential information.
- These Terms do not permit use of the LIGHTCLIP name, logo, or marks in advertising or endorsement without approval.
Availability and Maintenance
- We aim to provide a stable Service, but scheduled maintenance, faults, and events outside our control may cause interruption.
- We may temporarily suspend part of the Service to address a security risk, protect data, or comply with a lawful request.
- We will use reasonable efforts to notify customers of material planned maintenance where practical.
- A service level or outage credit applies only if expressly included in a written service-level agreement.
- You are responsible for compatible connectivity, devices, and software and for exporting copies of important work as needed.
Warranties and Limits of Liability
To the extent permitted by law, the Service is provided as available. We do not guarantee completely uninterrupted or error-free operation, accurate AI outputs, or the continued availability of an external integration. This does not limit a warranty or right that cannot legally be excluded, and we will provide the Service with reasonable care and in accordance with its agreed description.
To the extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when contracting. Where liability may lawfully be limited, LIGHTCLIP’s aggregate liability for Service-related claims will not exceed the customer fees paid for the Service in the 12 months before the event. No exclusion or limit applies to fraud, gross negligence, wilful misconduct, death or injury, a data violation, or liability that cannot legally be excluded or limited.
Termination & Suspension
- You may stop using the Service or request account deletion through available settings, subject to plan or agreement obligations.
- We may immediately suspend an account or feature for a security risk, unlawful use, serious abuse, or a competent authority’s request.
- For other breaches, we may request correction within a reasonable time before termination where appropriate.
- The Service may be terminated for non-payment after notice under the agreement or when the subscription expires without renewal.
- On termination, access ends; export content before the termination date where available and permitted.
- Remaining content and data are handled under the Privacy Policy and legal requirements; termination does not affect content already published externally.
- Terms that by nature should survive do so, including accrued fees, ownership, confidentiality, liability limits, and dispute resolution.
Changes to These Terms
- We may update the Terms to reflect changes to the Service, law, security, or operations.
- We will publish and date the new version and provide appropriate advance notice of a material change where required or practical.
- Changes apply on the date stated in the notice or published version and do not retroactively diminish an accrued right.
- Where express consent is required, continued use alone will not be treated as consent beyond what law permits.
- If you disagree, you may stop using or not renew the Service and request closure subject to cancellation rights and the applicable agreement.
Consumer and E-Commerce Rights
- If you are a consumer, these Terms do not reduce mandatory rights under the Saudi E-Commerce Law or other applicable laws.
- Before purchase, key information about the Service, price, taxes, contract term, renewal, and cancellation is displayed as applicable to the offer.
- Contract cancellation and refund rights apply in the cases, periods, and exceptions established by law, including non-use of a service where its conditions are met.
- Send a commercial complaint to [email protected]; consumers may also contact the Saudi Ministry of Commerce through its official channels.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties will first seek an amicable resolution for 30 days after receipt of written notice describing the dispute. If unresolved, the courts of Riyadh, Saudi Arabia have jurisdiction, unless mandatory law assigns a different territorial or subject-matter jurisdiction or a written agreement between the parties provides another lawful dispute resolution method.
Contact and Notices
For questions, complaints, or notices about these Terms, contact [email protected]. We may send notices to the account email or display them in the Platform; keep your contact details current. Where required, the operator’s entity, registration, and address details appear in the customer’s commercial proposal, contract, or invoice.
